DOF ASA – Ny aksjekapital og registrering av det subordinerte konvertible obligasjonslånet
Det vises til tidligere børsmeldinger vedrørende fortrinnsrettsemisjonen ("Fortrinnsrettsemisjonen") i DOF ASA ("DOF" eller "Selskapet") på minimum 750 000 000 og maksimum 1 200 000 000 nye aksjer hver pålydende NOK 0,50 ("Tilbudsaksjene") til en tegningskurs på NOK 1,00 per Tilbudsaksjeaksje ("Tegningskursen").
Følgende endringer i aksjekapitalen til Selskapet har blitt registrert i Foretaksregisteret i dag, 3. august 2016:
- Kapitalnedsettelsen fra NOK 222 102 696 til NOK 55 525 674 ved nedsettelse av pålydende verdi per aksje med NOK 1,50, fra NOK 2,00 til NOK 0,50.
- Kapitalforhøyelsen fra NOK 55 525 674 til NOK 585 460 600 ved utstedelse av 1 059 869 852 nye aksjer, hver pålydende NOK 0,50, til Tegningskursen i forbindelse med Fortrinnsrettsemisjonen.
Etter disse endringene er Selskapets aksjekapital NOK 585 460 600, fordelt på 1 170 921 200 aksjer, hver pålydende NOK 0,50.
De nye aksjene som er utstedt i forbindelse med Fortrinnsrettsemisjonen vil bli registrert på de respektive tegnernes VPS-konti og være omsettelige på Oslo Børs fra og med 4. august 2016, forutsatt at vedkommende tegner har betalt det relevante tegningsbeløp.
Det nye subordinerte konvertible obligasjonslånet med pålydende verdi på NOK 1 032,5 millioner ble også registrert i Foretaksregisteret i dag, 3. august 2016.
