Insr Insurance Group ASA – Approval of merger with Nemi Forsikring
Reference is made to the stock exchange release published by Insr Insurance Group ASA (Insr) on 23 January 2018, where the company announced that the boards of directors of Insr and Nemi Forsikring AS had approved a merger for the two companies in accordance with the provisions relating to mergers of parent companies and wholly owned subsidiaries. Completion of the merger was amongst others conditional upon approval by the Norwegian Financial Supervisory Authority (the NFSA).
The merger was approved by the NFSA on 27 February 2018. Completion of the merger is still conditional upon (i) expiration of a six weeks creditor notification period which expires on 12 March 2018, (ii) no objections having been made by creditors during the creditor notification period or objections, if any, having clarified and (iii) notification of the merger to Nemi's policyholders.
