Komplett ASA: Share capital increase completed

Sandefjord/Oslo, 19 November 2022: Reference is made to the stock exchange announcement made by Komplett ASA (the "Company") on 15 November 2022 regarding the successful completion of a private placement to raise gross proceeds of NOK 1,000,050,000 (the "Private Placement").

The settlement of the Private Placement was divided into two tranches, whereas settlement with investors other than Canica Invest AS and SIBA Invest Aktiebolag took place in full in the first tranche ("Tranche 1"). The share capital increase relating to the issuance of 27,500,000 new shares in the Company in connection with Tranche 1 has been registered with the Norwegian Register of Business Enterprises (Nw.: Foretaksregisteret).

Of the in total 27,500,000 new shares issued, 21,499,515 new shares will be issued on the listed ISIN NO0011016040 and will be tradable on the Oslo Stock Exchange immediately following issuance, while the remaining 6,000,485 new shares will be issued on a temporary ISIN NO 0012763434. These shares will be transferred to the ISIN NO0011016040 and listed on the Oslo Stock Exchange following publication of a prospectus, which is expected in early Q1 2023.

The new share capital of Komplett ASA is NOK 53,999,031.60, divided into 134,997,579 shares, each with a nominal value of NOK 0.40.
