SIMTRONICS - SHARE OPTIONS TO PRIMARY INSIDERS

Following authorities given to the board of Simtronics ASA in the annual general meeting of May 20, 2010, the board has assigned stock options to leading employees. The entitled stock options are to be vested in three equal tranches on specified dates within a 36 month period. Part (40%) of any profit from these stock options must be re-invested in company stock. Simtronics first stock option allocation from May 2007 expired in May 2007 with a strike of NOK 2.46 lapsed being out of the money. A total of 3 400 000 shares have been allocated. Together with stock options awarded in May 2008 with a strike of NOK 4.52 the company have awarded a total of 5 400 000 shares in its stock option plan representing a total of 7,774% of its share capital.

The options give right to by shares at a price equal to the closing-price on the date for the board resolution, June 4, 2010 - NOK 2.05 per share.

Options have been assigned to primary insiders as follows:

MD Fire Eater AS – Torbjørn Laursen;                    300.000
MD Water Mist Engineering AS; Kjetil Kleven;      300.000
EVP & Head Detection Systems; Claus Fossum  300.000

After these stock options have been assigned,

- Rune Martini holds a total of 1.250.000 stock options and 200.000 shares
- Frode Arnesen holds a total of 900.000 stock options and 170.000 shares
- Torbjørn Laursen holds a total of 300.000 stock options and 6.972.370 shares
- Kjetil Kleven holds a total of 300.000 stock options
- Claus Fossum holds a total of 300.000 stock options and 100.000 shares
