CORPORATE ACQUISITION OF ROYAL RAVINTOLAT LTD AND SPECIAL SHARE ISSUE REALISED
On 12 April 2018, Restamax Plc ("Restamax") announced that it had signed an agreement on the acquisition of the entire share capital of RR Holding Oy ("Royal Ravintolat"). The final implementation of the deal was conditional on a share issue decision by Restamax's General Meeting and on the organising of financing for the cash purchase price.
Today, the conditions for carrying out the corporate acquisition were met, and the entire shareholding of Royal Ravintolat transferred into Restamax's possession starting from 1 June 2018. By virtue of the share issue authorisation of the Extraordinary General Meeting of 31 May 2018, today on 1 June 2018 Restamax's Board of Directors has decided to issue shares in a private placing to certain sellers and key personnel of Royal Ravintolat as part of the purchase price. In the special issue, a total of 2,272,727 new Restamax shares were subscribed for at a subscription price of €8.80 per share. The rest of the purchase price was paid in cash. The debt-free value of Royal Ravinolat in the deal was MEUR 90.
The new shares will be entered in the Trade Register on or about 5 June 2018, and trading in the new shares on the stock list of Nasdaq Helsinki along with the current Restamax shares is expected to begin on or about 6 June 2018. After the registration of the shares subscribed for in the issue, the total number of Restamax shares will be 18,892,347. The number of shares subscribed for in the share issue corresponds to approximately 12.0 per cent of Restamax's share capital after the registration of the new shares.
After the registration of the new shares subscribed for in the share issue, Restamax's five largest shareholders and their shareholding in the company are as follows: Timo Laine directly or indirectly through controlled entities owns 24.87 per cent, Mikko Aartio directly or indirectly through controlled entities owns 18.87 per cent, Mika Niemi's shareholding is 11.84 per cent and Sr Evli Suomi Pienyhtiöt owns 4.40 per cent. As a result of the realisation of the deal, Intera Fund II Ky ("Intera") became the fourth largest shareholder of Restamax with a shareholding of 9.63 per cent.
