Report from Nolato AB’s Annual General Meeting

Nolato’s Annual General Meeting was held today in Grevie, and was chaired by Fredrik Arp. Dividend: The meeting resolved in accordance with the proposal of the Board of Directors and the President and CEO to pay a dividend of SEK 3.00 per share. The dividend record date is Monday 3 May 2010, which means that the dividend is expected to be issued by Euroclear Sweden on 6 May. Election of the Board of Directors: In accordance with the Board’s proposal, the Board members Fredrik Arp, Gun Boström, Henrik Jorlén, Erik Paulsson, Hans Porat and Lars-Åke Rydh were re-elected by the meeting. Anna Malm Bernsten was elected as a new Board member. Fredrik Arp was elected Chairman of the Board. The meeting also resolved in favour of unchanged fees for each Board member. Nomination Committee: The meeting resolved that the Company should have a Nomination Committee consisting of one representative for each of the five largest shareholders in terms of number of votes as at the end of September. The names of the five shareholder representatives and the names of the shareholders whom they represent shall be made public as soon as they have been appointed, but no later than six months before the 2011 Annual General Meeting. Other resolutions: The meeting passed resolutions on adopting the income statement and balance sheet for Nolato AB and the consolidated income statement and balance sheet, and on the distribution of earnings, and discharged the members of the Board and the President from liability for the 2009 financial year.
