Norconsult ASA: Mandatory notification of trade
Sandvika, 14 June 2024 (OSE: NORCO): Reference is made to the prospectus of Norconsult ASA (the “Company”) dated 27 October 2023 (the “Prospectus”).
As stated in the Prospectus, a number of employees in the Company, including certain primary insiders, indirectly held their shares in the Company through NC-ansattes Holding AS (“NAH”). NAH was established to facilitate indirect ownership for 214 existing shareholders in the Company, and it followed from the Prospectus that the intention was to eventually demerge NAH so that each shareholder in NAH would hold its personal shareholding in the Company through his or her own respective holding company.
On 27 January 2024, such demerger of NAH was completed and entailed that the following primary insiders’ shareholdings in the Company were transferred from NAH to each of its respective personal holding companies as follows:
- 1.275.000 shares owned by Bård Sverre Hernes, EVP Norway Head Office was transferred from NAH to his holding company BSH 252 HOLDING AS. The total number of 1.327.631 shares in the Company held by Bård Sverre Hernes and his close associates remains unchanged following the transfer.
- 1.076.550 shares owned by Egil Hogna, President and CEO was transferred from NAH to his holding company EGIHOG 914 HOLDING AS. The total number of 1.129.181 shares in the Company held by Egil Hogna and his close associates remains unchanged following the transfer.
- 140.350 shares owned by Hege Njå Bjørkmann, EVP Communication and Brand was transferred from NAH to her holding company HENBJ 004 HOLDING AS. The total number of 140.350 shares in the Company held by Hege Njå Bjørkmann and her close associates remains unchanged following the transfer.
- 584.150 shares owned by Sten-Ole Nilsen, EVP Renewable Energy was transferred from NAH to his holding company SON 087 HOLDING AS. The total number of 584.150 shares in the Company held by Sten-Ole Nilsen and his close associates remains unchanged following the transfer.
- 386.500 shares owned by Vegard Jacobsen, EVP Norway Regions was transferred from NAH to his holding company VJ 386 HOLDING AS. The total number of 386.500 shares in the Company held by Vegard Jacobsen and his close associates remains unchanged following the transfer.
- 50.000 shares owned by Sverre Eide Holst, deputy board member was transferred from NAH to his holding company SAAH 994 HOLDING AS. The total number of 50.000 shares in the Company held by Sverre Eide Holst and his close associates remains unchanged following the transfer.
- 154.013 shares owned by Sylvia Teige, Director Group Finance was transferred from NAH to her holding company SYTEI 818 HOLDING AS. The total number of 180.328 shares in the Company held by Sylvia Teige and her close associates remains unchanged following the transfer.
- 218.725 shares owned by Harald Trosvik, board member was transferred from NAH to his holding company TROJAH HOLDING AS. The total number of 218.725 shares in the Company held by Harald Trosvik and his close associates remains unchanged following the transfer.
Furthermore, NAH was dissolved upon completion of the demerger.
The demerger only implied a transfer of the primary insiders’ indirect ownership of shares in the Company from NAH to their respective personal holding companies. There was accordingly no change of the relevant primary insider’s total direct and indirect holding of shares in the Company.
