Merita General Meeting approves single share class and euro conversion The Extraordinary General Meeting of Merita Plc held on October 28 voted on and approved the proposal of the Board of Directors to combine the Company's share classes A and B into a single class. Following this change, all Merita shares will carry equal voting rights, i.e. one vote each, and an equal right to dividend. The preferential right to dividend previously carried by B-shares was waived in connection with the respective amendment to the Articles of Association. The General Meeting further passed a resolution to abandon the nominal value of the share and to convert the share capital into euros. The amendments to the Articles of Association concerning the combination of the share classes will be filed for registration immediately. They will take effect upon registration, after which the required technical changes will be made in the paperless Book Entry System. Subsequent to registration, trading in the Company's shares on the HEX exchange will continue with a single, combined share class as of November 5, 1998. The technical combination of the shares in the Book Entry System will be ensured by the Finnish Central Securities Depository Ltd. Shareholders are not required to take any action in this connection. The resolution of the General Meeting to abandon the nominal value of the share and to convert the share capital into euros will take effect and be registered upon the entry into force of the respective amendment to the Finnish Companies Act scheduled for January 1, 1999.
