Change in shareholders' agreement between A/S Motortramp and Kristiansands
Tankrederi A/S 

Dampskibsselskabet NORDEN A/S has received below notice from the Company's two
major shareholders: 

A/S Motortramp (Motortramp) owns 26.6% and Kristiansands Tankrederi A/S
(Kristiansands Tankrederi) owns 21.5% of the share capital in
Dampskibsselskabet NORDEN A/S (NORDEN). 

As disclosed in announcement to the Copenhagen Stock Exchange of 11 October
2004, Motortramp and Rasmussengruppen AS (Rasmussengruppen), which is the
parent company of Kristiansands Tankrederi, entered into a shareholders'
agreement according to which the parties - except for intercompany transactions
- were committed not to transfer any shares in NORDEN without first offering
the shares to the other party, and, if the other party did not accept the
offer, to ensure the other party the opportunity to sell its shares at equal
(or better) terms. 

Effective as from 1 January 2009, Motortramp and Kristiansands Tankrederi
(which is the owner of Rasmussengruppen's shareholding) have agreed that the
terms of the shareholders' agreement shall only apply to nominally DKK
4,869,640 of shares (equivalent to 10.9% of NORDEN's share capital) of each of
the parties' shareholdings, rendering the parties free to dispose of their
remaining shares in NORDEN. 

In addition, the parties have agreed not to reduce their respective - 2 -
shareholdings of nominally DKK 4,869,640 prior to 1 January 2011 without
further mutual agreement.
