99.1% of Unidanmark's shareholders have now accepted the share exchange offer Shareholders representing an additional 2.0% of the shares in Unidanmark accept Nordic Baltic Holding's share exchange offer On 19 April 2000 Nordic Baltic Holding announced that shareholders representing 97.1% of the total number of shares in Unidanmark, excluding the holding of own shares, the cancellation of which was resolved by the Annual General meeting on 21 March 2000, had accepted the share exchange offer by Nordic Baltic Holding. On 2 May 2000 Nordic Baltic Holding made a mandatory offer based on the same exchange ratio to those shareholders of Unidanmark who did not accept the first offer. The mandatory offer ended on 30 May 2000. Shareholders representing 1,444,309 shares, corresponding to 2.0% of the total number of shares in Unidanmark has accepted the mandatory offer. On the exchange of Unidanmark Accept 2 shares, Nordic Baltic Holding will issue 18.348.501 new shares of SEK 3.50 each. The exchange will be completed on 7 June 2000. Pursuant to sections 20b and 20c of the Danish Companies Act, Nordic Baltic Holding and the Supervisory Board of Unidanmark have made a joint decision to redeem the Unidanmark shares which have not been transferred to Nordic Baltic Holding. The remaining shares will be redeemed at a price of DKK 640 per share.
