Nordic Baltic Holding´s share exchange offer to the shareholders of Unidanmark to be completed On March 6, 2000 Nordic Baltic Holding (NBH) AB (publ) and Unidanmark A/S announced the merger of the two groups. The merger was effected through a share exchange offer by Nordic Baltic Holding to the shareholders in Unidanmark. The offer period expired at 1600 hrs April 12, 2000, at which time acceptances representing more than 90 per cent of all the shares in Unidanmark had been received by Nordic Baltic Holding. All other necessary conditions for the share exchange offer have been satisfied. Against this background Nordic Baltic Holding has decided to complete the share exchange offer to the shareholders of Unidanmark A/S. In accordance with the terms and conditions of the share exchange offer Nordic Baltic Holding will as soon as possible and not later than on Wednesday April 19, 2000 announce the exact number of shares for which acceptances have been received. Shareholders in Unidanmark who have not accepted the share exchange offer, or who have acquired Unidanmark shares after the expiry of the share exchange offer period, will in a mandatory offer procedure be offered to exchange their Unidanmark shares into Nordic Baltic Holding shares at the same exchange ratio as in the share exchange offer. Such mandatory offer is expected to be made in the beginning of May 2000. The acceptance period expired at 1600 hrs on April 12, 2000 and was not extended. Due to a technical mishap a draft message of extension was unfortunately transmitted. This was immediately replaced by the correct message that acceptances representing more than 90 per cent of all shares in Unidanmark had been received by Nordic Baltic Holding. Nordic Baltic Holding regrets any inconvenience caused by this. Unidanmark shares and Unidanmark Acceptance shares trade ex special dividend. 18 April 2000 First day of trading on the Copenhagen Stock Exchange of Nordic Baltic Holding shares. Last day of transfer of Unidanmark shares to Unidanmark Acceptance shares. 25 April 2000 Payment of special dividend to Unidanmark's shareholders.
