Shareholders representing 97.1% of shares in Unibank accept Nordic Baltic Holding

Shareholders representing 97.1% of the shares in Unidanmark accept Nordic Baltic Holding's share exchange offer On 12 and 14 April 2000 Nordic Baltic Holding announced that shareholders representing well over 90% of the shares in Unidanmark had accepted the share exchange offer by Nordic Baltic Holding. All other necessary conditions for the offer had been met and consequently, the share exchange offer will be completed. The exact number of shares in Unidanmark for which the offer has been accepted is 68,464,774, corresponding to 97.1% of the total number of shares in Unidanmark, excluding the holding of own shares, the cancellation of which was resolved by the Annual General meeting on 21 March 2000. On the exchange of Unidanmark acceptance shares, Nordic Baltic Holding will issue 869,776,488 new shares of SEK 3.50 each. As previously announced, the exchange will be completed on 25 April 2000. The shareholders of Unidanmark who have not accepted the share exchange offer or who have acquired shares in Unidanmark after the expiry of the exchange offer period will get the opportunity to exchange their shares in connection with the mandatory offer which Nordic Baltic Holding expects to submit in the beginning of May 2000. The mandatory offer will be based on the same exchange ratio as the share exchange offer of 6 March 2000.
