Nordic Broadcasting Concludes Acquisition of Schibsted’s Shares in TV4

· The Swedish Competition Authority has approved Nordic Broadcasting’s acquisition of Schibsted’s shares in TV4 and the takeover of Proventus’ and Bonnier’s ownership in TV4 – Nordic Broadcasting thus reaches approximately 98 per cent ownership of the shares in TV4

Nordic Broadcasting, of which Bonnier and Proventus each own half, agreed on November 5, 2006 to acquire Schibsted’s shares in TV4 AB (publ). In connection with this, it was decided that Bonnier’s and Proventus’ holdings in TV4 will be transferred to Nordic Broadcasting. The transactions have now been approved by the Competition Authority and are expected to be concluded on December 28, 2006.

Nordic Broadcasting, who owns 100 per cent of the Finnish TV company MTV Oy, currently owns, (directly and indirectly through MTV Oy), 5,255,714 shares in TV4 corresponding to 26.3 per cent of the votes and capital. Through the above transactions Nordic Broadcasting acquires 5,388,368 shares from Schibsted, 5,860,314 shares from Bonnier & Bonnier AB and 3,020,013 from Proventus Industrier AB. After the implementation, Nordic Broadcasting’s holding in TV4 will amount to 19,524,409 shares in TV4 corresponding to 97.6 per cent of the votes and capital. Bonnier & Bonnier AB and Proventus Industrier AB will not own any shares in TV4 after the transactions.

Nordic Broadcasting intends to acquire additional TV4 shares in the market.
