Nordic Capital announces its intention to offer shares in Tokmanni to institutional investors

Cidron Disco S.à r.l (“Cidron”, a company ultimately owned by Nordic Capital Fund VII 1) , together with associated co-investment vehicles) intends to sell approximately 9 million shares in Tokmanni Group Plc (“Tokmanni” or the “Company”) (the “Share Sale”). Cidron will decide the final number of shared sold based on investor demand. Prior to the Share Sale, Cidron owns 26,952,301 shares in the Company corresponding approximately to 45.78 per cent of all the outstanding shares of the Company.
The Share Sale will be based on an accelerated book-building process, in which selected institutional investors may submit bids for the shares offered. The subscription and sale price of the Shares offered will be determined by the bids received in the accelerated book-building process. Rockers Tukku Oy is committed to buy 2.83 million shares in the offering. The book-building process will commence immediately and will end by 9.00 a.m. EET on November 11, 2016 at the latest. Receiving the bids may however be discontinued at any time during the book-building process. The result of the Share Sale will be published on or about November 11, 2016.
