Nordic Trustee & Agency AB (publ): Request for consent - Bergteamet AB (publ) SEK 200,000,000 Senior Secured Callable Zero Interest Bonds 2015/2020

Nordic Trustee & Agency AB (publ) acts as agent (the "Agent") for the holders of the bonds (the "Holders") in the above mentioned bond issue ISIN SE0006886883 (with an aggregated outstanding amount of SEK 200,000,000) (the "Bonds") issued by Bergteamet AB (publ) (the "Issuer").

The Issuer initiated a written procedure on 16 November 2016. On the expiry of the stipulated timeperiod for Holders to reply to the request, Holders representing at least 20% of the adjusted nominal amount had not replied to the request and therefore a quorum for the written procedure did not exist. The Issuer has therefore, in accordance with Clause 15.9 of the terms and conditions of the Bonds, instructed the Agent to initiate this second written procedure. The consents requested remains the same.

In its capacity as Agent, and as requested by the Issuer as of the date hereof, the Agent hereby initiates a second procedure in writing, whereby Holders can vote for or against the Issuer’s request for Consents (as defined in the notice of second written procedure) regarding certain amendments of the contract note and the terms and conditions of the Bonds.

The notice of the second written procedure has been sent by ordinary mail to Holders directly registered in the debt register kept by Euroclear Sweden AB as of 9 December 2016 in accordance with the terms and conditions of the Bonds.

The Agent must receive the voting forms no later than 17:00 (CET) on 30 December 2016 either by ordinary mail, courier or e-mail to the Agent using the contact details set out in the notice of second written procedure. Votes received thereafter may be disregarded.

To be eligible to participate in the second written procedure, a person must meet the criteria for being a Holder on 19 December 2016 (the "Record Date"). This means that the person must be registered on a Securities Account with Euroclear Sweden AB, as a direct registered owner (Sw. direktregistrerad ägare) or authorised nominee (Sw. förvaltare) with respect to one or several Bonds.
