Rectification of the terms of the SEK 400,000,000 senior secured bonds issued by YA Holding AB (publ)
YA Holding AB (publ) and Swedbank AB (publ) have, in their capacity as issuer and bookrunner as well as issuing agent, respectively, for the bond loan, called Nordic Trustee & Agency AB (publ)’s attention to an erroneous wording in the terms and conditions of the SEK 400,000,000 senior secured bonds issued by YA Holding AB (publ) on 19 June 2014 (the “Terms and Conditions”). Swedbank AB (publ) has confirmed to Nordic Trustee & Agency AB (publ) that the erroneous wording does not correspond with the prerequisites under which the Terms and Conditions were prepared and presented during the sales process. Nordic Trustee & Agency AB (publ) and YA Holding AB (publ) therefore intend to agree on the rectification of the error in the Terms and Conditions.
The Terms and Conditions are intended to be rectified in order to clarify that subsidiaries of YA Holding AB (publ) shall not be obliged to carry out a so called Incurrence Test when using their right to incur (i) Permitted Leasing (up to SEK 75,000,000), or (ii) make use of overdraft credit facilities or revolving credit facilities (up to SEK 30,000,000) in the ordinary course of business.
Terms defined herein shall have the same meanings as in the Terms and Conditions.
The amendment is intended to be executed on 9 July 2014 and the amended terms and conditions will be published on www.ya.se and www.nordictrustee.com.
