New nomination committee for Nordic Waterproofing Holding A/S
Further to ownership changes in Nordic Waterproofing Holding A/S (“Nordic Waterproofing”) a new nomination committee has been appointed in accordance with the company’s rules.
In February 2017, the previous principal owners divested their remaining shares in Nordic Waterproofing. In accordance with the instructions for appointment of the nomination committee, the composition of the nomination committee has been appointed to reflect the change in ownership. The members of the new nomination committee, appointed by the major shareholders in the company as per February 2017, are
Viktor Henriksson, appointed by Carnegie funds and chairman of the nomination committee
Joachim Spetz, appointed by Swedbank Robur
Ulf Hedlundh, appointed by Svolder AB
Peter Lundkvist, appointed by Third Swedish National Pension Fund
Ulf Gundmark, chairman of Nordic Waterproofing Holding A/S
Arne Bernroth and Thomas Lau Schleicher have resigned from the nomination committee.
In all the nomination committee represents about 28.5 percent of the total number of shares and votes in Nordic Waterproofing Holding A/S.
The main duties of the nomination committee are to nominate candidates for the positions of chairman of the board and other members of the board, and to submit proposals for fees and other remuneration to be paid to each of the board members.
Shareholders who wish to present proposals to the nomination committee are welcome to submit them by email: nominationcommittee@nordicwaterproofing.com. In order for the nomination committee to be able to consider submitted proposals, these should be submitted by 15 March 2017, at the latest.
The Annual General Meeting of Nordic Waterproofing Holding A/S will be held in Stockholm, Sweden, on 27 April 2017.
