Nordisk Bergteknik acquires Torbjörn Sundh Entreprenad – broadens offering and strengthens market position in Norrland
Nordisk Bergteknik has today entered into an agreement regarding the acquisition of all shares in Torbjörn Sundh Entreprenad, an experienced machine contractor based in Umeå. Through the acquisition, Nordisk Bergteknik broadens the extent of its offering and continues to strengthen its position and presence in Norrland.
Torbjörn Sundh Entreprenad AB was founded in 1990 and today has a turnover of approximately SEK 220 million on annual basis with a strong profitability that will strengthen the Group’s margin. The business, which is based in Umeå, employs 130 people and offers services within infrastructure and construction contracts, as well as operation and maintenance of the transport network.

The purchase price amounts to SEK 138 million and is paid through SEK 108 million in cash at completion of the transaction, SEK 20 million through reinvestments in shares in Nordisk Bergteknik, and SEK 10 million in a seller promissory note. The shares will be issued in accordance with the mandate authorized by the Annual General Meeting in 2021 and are subject to a lock-up commitment expiring in the autumn of 2022.
The acquisition is subject to approval by the Swedish Competition Authority and completion of the transaction will take place in connection with obtaining approval. The acquisition will be reported in the Rock Sweden segment and is assessed, based on the expected number of outstanding shares after the acquisition, to annually contribute approximately SEK 0.40 to earnings per share.
