Nordstjernan publishes offer document regarding its mandatory bid to the shareholders in Swedol

Nordstjernan Aktiebolag (“Nordstjernan”) has today published the offer document regarding its public offer (mandatory bid) to the shareholders of Swedol AB (publ) to tender all of the B-shares of Swedol to Nordstjernan (the “Offer”). The B-shares are admitted to trading on Nasdaq Stockholm, Mid Cap. The A-shares are not admitted to trading.

The offer document relating to the Offer has today been approved by the Swedish Financial Supervisory Authority.

The offer document and the acceptance form are available on Nordstjernan’s website (https://swedol.nordstjernan.se) and on SEB’s website (https://sebgroup.com/prospectuses). The offer document will also be available on the Swedish Financial Supervisory Authority’s website (www.fi.se).

A pre-printed acceptance form and a paid reply envelope will be sent to all the shareholders whose holdings in Swedol were directly registered with Euroclear Sweden AB, April 16, 2018.

Timetable for the Offer

The acceptance period for the Offer commences on April 18, 2018 and will end on May 16, 2018.

Settlement is expected to begin on or around May 23, 2018.

Nordstjernan reserves the right to extend the acceptance period for the Offer, as well as the right to postpone the settlement date. A notice of any such extension(s) or postponement(s) will be announced by Nordstjernan by means of press release(s) in accordance with applicable rules and regulations.
