Norse Atlantic ASA: Notice of Extraordinary General Meeting

Arendal, 10 March 2023: Reference is made to the stock exchange announcement published by Norse Atlantic ASA (the "Company") earlier today, regarding an update on the contemplated subsequent share offering of up to 60,000,000 new shares in the Company at a price of NOK 2.50 per share (the "Subsequent Offering"), and the contemplated uplisting of the Company's shares to Euronext Expand, a regulated market being part of Euronext and operated by Oslo Børs ASA.

The Company's board of directors hereby calls for an extraordinary general meeting to be held on Friday, 24 March 2023 at 09:00 CET, to inter alia approve a share consolidation (reverse share split) of the Company's shares in the ratio of 4:1, in order to facilitate for the contemplated uplisting of the Company's shares. The share consolidation will be implemented after the contemplated the subsequent offering has been completed.

The general meeting will be held as a physical meeting at the offices of Norse Atlantic ASA, Fløyveien 14, 4838 Arendal, Norway. Shareholders may participate digitally at the meeting.

The notice for the extraordinary general meeting, including the board's proposed  resolutions, the notice of attendance and proxy forms, are attached to this announcement and will be made available on the Company's website, www.flynorse.com.

Shareholders are encouraged to attend the meeting by casting their votes in advance or by granting a proxy to the chair of the board within 21 March 2023 at 16:00 CET. Further details are found in the attached notice.
