Confirmed Registration of Increased Share Capital

Reference is made to the stock exchange notice dated March 25, 2011 regarding the completed private placement in Norse Energy Corp. ASA ("NEC" ticker Oslo Stock Exchange, Norway; "NSEEY" ticker U.S. OTC).

The share capital increase of NOK 77.455.324,80 from the private placement (NOK 196.646.000,37 to NOK 274.101.325,17) was registered in the Register of Business Enterprises ("Foretaksregisteret") on April 20, 2011.

Following the private placement, NEC has a share capital of NOK 274.101.325,17 divided into 743.154.566 shares, each with a nominal value of NOK 0.36883488. Each share carries right to one vote at the Company's general meetings. The updated company certificate is enclosed.

The new shares will be listed once the prospectus has been approved by The Financial Supervisory Authority of Norway (“Finanstilsynet”).
