Norse Energy Corp ASA seeks ADR Quotation on US International OTCQX exchange

Norse Energy Corp ASA (OSE ticker code “NEC”, U.S OTC symbol “NSEEF”) has filed a registration statement with the United States Securities and Exchange Commission for the establishment of a level 1 American Depositary Receipt (“ADR”) program. When the registration statement is declared effective, Norse Energy Corp ASA will seek quotation of the ADR’s on the PrimeQX tier of the International OTCQX Exchange (“OTCQX”). Norse Energy Corp ASA has appointed US investment bank Dahlman Rose & Co. as its sponsor and Principal American Liaison for the OTCQX quotation, and the Bank of New York Mellon as the depositary for the ADR program. OTCQX is the premier exchange for over-the-counter trading of shares in non-U.S. companies listed on qualified foreign stock exchanges. OTCQX provides access to the U.S. markets for companies listed on other exchanges without the costs associated with a traditional exchange listing and compliance to the SEC and Sarbanes-Oxley requirements. The proposed quotation of Norse Energy Corp ASA’s ADRs on the OTCQX market tier will be non-dilutive for existing shareholders as no new or additional shares or ADRs will be issued in connection with the listing.
