Northland announces successful subscription of the bond offering


Luxembourg, May 30, 2013 – Northland Resources S.A. (OSE: NAUR, Frankfurt: NPK, Nasdaq OMX/First North: NAURo – together with its subsidiaries “Northland”, or the “Company”) is pleased to announce that it has closed the USD 335 million bond offering announced on May 29, 2013 (the”Offering”).

With reference to the Company’s press release dated May 29, 2013, wherein Northland announced that it would be in a position to complete the Offering, the Company is now very pleased to announce that it has successfully closed the Offering.

Karl-Axel Waplan, CEO of Northland, stated: “We are very pleased to having successfully closed the Offering, which is expected to provide sufficient funding to complete the Kaunisvaara project. The Company welcomes the addition of the new investor consortium announced on May 29, 2013, showing the strong support we have received throughout the process from Metso and Peab. We are also pleased to get Norrskenet and Folksam as new investors. Further, we are thankful for the support from existing bondholders throughout this process, and for their subscriptions in the Offering. The Company will now focus on resuming operations at Kaunisvaara, and completing the project.”

Subject to fulfillment of certain conditions precedent, including approval in the Bondholder Meeting scheduled for June 4, 2013, it is expected that settlement of the Bond Offering will occur on or about June 6, 2013. The bonds issued pursuant to the Bond Offering will not be listed on the TSX and may not be sold, transferred, hypothecated or otherwise traded in Canada or to or for the benefit of a Canadian resident for a period of four months and one day from the later of (i) the date of the closing of the Bond Offering and (ii) the date that the issuer, Northland Resources AB, became a reporting issuer in any province or territory of Canada.

Arctic Securities ASA and Pareto Securities AS are acting as Joint Lead Managers and Bookrunners of the Offering, and Ocean Equities Ltd. is acting as Co-Lead Manager of the Offering.

Northland is a producer of iron ore concentrate, with a portfolio of production, development and exploration mines and projects in northern Sweden and Finland. The first construction phase of the Kaunisvaara project is complete and production ramp-up started in November 2012. The Company expects to produce high-grade, high-quality magnetite iron concentrate in Kaunisvaara, Sweden, where the Company expects to exploit two magnetite iron ore deposits, Tapuli and Sahavaara. Northland has entered into off-take contracts with three partners for the entire production from the Kaunisvaara project over the next seven to ten years. The Company is also preparing a Definitive Feasibility Study (“DFS”) for its Hannukainen Iron Oxide Copper Gold (“IOCG”) project in Kolari, northern Finland and for the Pellivuoma deposit, which is located 15 km from the Kaunisvaara processing plant.
