SHARE CAPITAL CHANGES

April 30, 2011  Northland Resources S.A. reports that during April 2011, 600,000 incentive stock options were granted and 300,000 shares were issued with respect to the exercise of incentive stock options.  There are now 225,483,899 common shares issued and outstanding, representing 225,483,899 voting rights. There are 10,000,000 incentive stock options outstanding.  The fully diluted share capital is 235,483,899 common shares.
