Notalp Logistik AB (name changed from Goldcup 35626 AB) announces the outcome of the offer to the shareholders of Jetpak Top Holding AB (publ) and extends the acceptance period
On 19 June 2024, Notalp Logistik AB (name changed from Goldcup 35626 AB), reg. no. 559486-4703 (“BidCo”), announced a public cash offer to the shareholders of Jetpak Top Holding AB (publ), reg. no. 559081-5337 (“Jetpak”), to tender all their shares in Jetpak to BidCo at a price of SEK 98[1] in cash per share (the “Offer”). BidCo is currently wholly owned by Paradeigma Partners AB (“Paradeigma”), and will upon a completion of the Offer be co-owned by a consortium led by Paradeigma and further including Pak Logistik Intressenter AB (“Pak Logistik Intressenter”) and Aktiebolaget Tuna Holding (together, the “Consortium”).
The initial acceptance period for the Offer commenced on 20 June 2024 and was initially expected to end on 19 July 2024. On 19 July 2024, BidCo announced that the initial acceptance period for the Offer was extended until 12 August 2024. Today, BidCo announces that:
- The shares in Jetpak tendered in the Offer at the end of the acceptance period amount to 2,311,499 shares, corresponding to approximately 19.0 per cent of the total number of shares and votes in Jetpak.
- The shares in Jetpak tendered in the Offer at the end of the acceptance period, together with the 7,132,675 shares in Jetpak already held, directly or indirectly, by the Consortium, amount to 9,444,174 shares in aggregate, corresponding to approximately 77.5 per cent of the total number of shares and votes in Jetpak.
- BidCo has resolved to extend the acceptance period for the Offer up to and including 5 September 2024 in order to provide the shareholders of Jetpak who have not yet accepted the Offer an opportunity to do so, and in light of Jetpak’s upcoming interim report which is expected to be published on 28 August 2024.
The shares in Jetpak tendered in the Offer, together with the 7,132,675 shares in Jetpak already held, directly or indirectly, by the Consortium, corresponding to approximately 58.52 per cent of the total number of shares and votes in Jetpak, and which will be contributed to BidCo upon a completion of the Offer, amounts to a total of 9,444,174 shares in Jetpak, corresponding to approximately 77.5 per cent of the total number of shares and votes in Jetpak.
Except as set out above, neither BidCo or any member of the Consortium, nor any closely related parties to them, held any shares in Jetpak, nor any financial instruments that give financial exposure equivalent to holding shares in Jetpak, at the time of the announcement of the Offer. Neither BidCo or any member of the Consortium, nor any closely related parties to them, have acquired or agreed to acquire any shares, or any other financial instruments in Jetpak, outside the Offer. Pak Logistik Intressenter has, however, on 7 June 2024 announced a mandatory public offer to the shareholders of Jetpak at a price of SEK 93.32 in cash per share in Jetpak (the “Mandatory Offer”). BidCo has been informed that up until the time of this announcement, no Jetpak shares have been tendered in the Mandatory Offer. As communicated by Pak Logistik Intressenter and BidCo, Pak Logistik Intressenter has undertaken to contribute any shares tendered by shareholders in the Mandatory Offer to BidCo, provided that BidCo’s voluntary Offer being declared unconditional and completed.
In order to provide the shareholders of Jetpak who have not yet accepted the Offer an opportunity to do so, and in light of Jetpak’s upcoming interim report, which is expected to be published on 28 August 2024, BidCo has resolved to extend the acceptance period for the Offer up to and including 19.00 (CEST) on 5 September 2024. For those shareholders in Jetpak who accepted the Offer during the initial acceptance period, as well as for those shareholders who accept the Offer during the extended acceptance period, settlement will be initiated as soon as BidCo announces that the conditions for the Offer have been fulfilled or if BidCo otherwise decides to complete the Offer. Provided that such announcement takes place no later than on 6 September 2024, settlement is expected to be initiated on or around 13 September 2024. BidCo reserves the right to further extend the acceptance period for the Offer and to postpone the settlement date. A notice of any such extension and/or postponement will be announced by BidCo by means of a press release in accordance with applicable laws and regulations.
In accordance with the press release published by BidCo on 1 August 2024, the condition regarding obtaining all necessary regulatory, governmental or similar clearances, approvals, decisions and other actions from authorities or similar, including from competition authorities and foreign direct investment authorities, has been fulfilled. All other conditions for completion of the Offer remain unchanged during the extended acceptance period, including the Offer being accepted to such extent that BidCo together with the other members of the Consortium becomes the owner of shares representing more than 90 per cent of the total number of outstanding shares in Jetpak.
An offer document and a supplement to the offer document regarding the Offer was published by BidCo on 19 June 2024 and 9 July 2024, respectively, and is, together with the acceptance form, available on BidCo’s website (www.notalp-transportation-offer.com) and on Mangold Fondkommission AB’s website (https://emission.mangold.se).
If BidCo, whether in connection with the Offer or otherwise, acquires shares representing more than 90 per cent of the total number of shares in Jetpak, BidCo intends to initiate a compulsory redemption proceeding under the Swedish Companies Act (Sw. aktiebolagslagen (2005:551)) to acquire all remaining shares in Jetpak. In connection therewith, BidCo intends to promote a delisting of Jetpak’s shares from Nasdaq First North Premier Growth Market.
