Notification of trade in NRC Group ASA

On 11 November 2015, Urbex Invest AS has purchased 850,000 shares in the NRC Group ASA at a price of NOK 24.93 per share in accordance with the terms of the forward contract entered into on 13 May 2015. Furthermore, Urbex Invest AS has entered into a new forward contract to purchase 975,000 shares in NRC Group ASA at a price of NOK 43.749 per share. The term of the forward contract is six and a half months, with expiry on 25 May 2013. At the same time, Urbex Invest AS sold 975,000 shares in NRC Group ASA to the counterparty in the forward contract, at a price of NOK 43 per share.

Kristian G. Lundkvist, who is the chairman of the board of directors of NRC Group ASA, is (indirectly) the majority shareholder of Urbex Invest AS, through the companies Middelborg AS and Merckx AS.

Following the above transactions, Urbex Invest AS owns 5,446,828 shares in NRC Group ASA, representing approximately 19.65% of the total shares and votes in the company. After the completion of the private placement announced by NRC Group ASA on 9 and 10 November 2015, Urbex Invest AS' shareholding will correspond to approximately 16.97% of the total shares and votes in the company.

Inclusive of the shares comprised by the forward contracts, Urbex Invest AS' number of shares and votes are unchanged.
