NRC GROUP ASA - DISCLOSURE OF VOTING RIGHTS AT AGM 12 MAY 2016

In connection with the Annual General Meeting of NRC Group ASA, to be held on Thursday 12 May 2016, CEO Øivind Horpestad has received proxies to represent and vote for 12,601,976 shares which represents 36.1% of outstanding shares and voting rights in NRC Group ASA. In addition, Øivind Horpestad controls 1,928,008 shares, which represents 5.5% of outstanding shares and voting rights in NRC Group ASA, held by his wholly owned company Charlotte Holding AS.

Øivind Horpestad currently represents a total of 14,529,984 shares which equals approximately 41.6% of outstanding shares and voting rights in NRC Group ASA.

The powers of attorney are only valid at this Annual General Meeting and after its conclusion Øivind Horpestad's shareholding in NRC Group ASA will represent 5.5%.
