NRC GROUP ASA - REGISTERED SHARE CAPITAL INCREASE

Reference is made to previous announcements regarding the completed private placement of 3,111,111 new shares (the "Private Placement") in NRC Group ASA (the "Company"). The share capital increase related to the Private Placement has now been registered with the Norwegian Register of Business Enterprises.

Following the share capital increase related to the Private Placement, the Company's share capital is now NOK 25,747,096, divided into 25,747,096 shares, each with a par value of NOK 1.
