NRC Group ASA - Registration of share capital increase

Reference is made to the announcement made by NRC Group ASA (the "Company") on 10 November 2015 regarding a completed private placement of shares.

The share capital increase related to issuance of the 1,605,000 new shares allocated in tranche 2 of the private placement has today been registered with the Norwegian Register of Business Enterprises. These shares will not be tradable on the Oslo Stock Exchange until the publication by the Company of a listing prospectus for the new shares, expected to be on or about Monday 7 December 2015.

The Company's share capital is now NOK 34,569,483 divided into 34,569,483 shares, each with a nominal value of NOK 1.
