NRC Group ASA - Shares purchased by primary insiders in 2019 Share Program

The following primary insiders in NRC Group ASA (the "Company") has today applied to purchase shares in the Company in connection with the ongoing 2019 share program for employees in the Company and its subsidiaries in Norway, Sweden and Finland (the "Program") in which employees have been offered the opportunity to purchase shares in the Company at a 20% discount for a total amount of either NOK 12,000, NOK 20,000 or NOK 32,000:

CEO, Øivind Horpestad, has applied to purchase shares in the Program for NOK 32,000.
Prior to purchase of shares in the Program, Mr. Horpestad owns 1.829.688 shares of which 500.000 shares are on future contract and 100.000 options in the Company. The shares are held by Gimle Invest AS, a company wholly owned by Øivind Horpestad.

CFO, Dag Fladby, has applied to purchase shares in the Program for NOK 32,000.
Prior to purchase of shares in the Program, Mr. Fladby owns 21,282 shares and 92,448 options in the Company.

MD of NRC Norge, Hans Olav Storkås, has applied to purchase shares in the Program for NOK 32,000.
Prior to purchase of shares in the Program, Mr. Storkås owns 21,500 shares and 5,000 options in the Company.

MD of NRC Finland, Harri Lukkarinen, has applied to purchase shares in the Program for NOK 32,000.
Prior to purchase of shares in the Program, Mr. Lukkarinen has no shares or options in the Company.

Head of Finance, Rolf Berge, has applied to purchase shares in the Program for NOK 32,000.
Prior to purchase of shares in the Program, Mr. Berge owns 10,701 shares and no options in the Company. 10,000 of the shares are held by Loreåsen Holding AS, a company controlled by Mr. Berge.

The purchase price per share before the discount will be equal to the Company’s share price at close of trade on the Oslo Stock Exchange on the last trading day prior to delivery of the shares. The purchase price per share and allocation of shares under the Program, including the number of shares purchased by the primary insiders and their updated shareholdings, will be announced at the date of completion and delivery of shares in the Program, which is aimed to take place on or about the beginning of April 2019.
