NRC Group ASA: 2022 Employee Share Purchase Program

NRC Group ASA ("NRC" or the "Company") has carried out its employee share purchase program for 2022.

Participants in the share purchase program were offered a discount of 20 percent on the average closing price through the subscription period. Hence the subscription price after discount was NOK 14.94.

In connection with the program, the Company has transferred 254,960 of its shares held in treasury to employees participating in the program. Following the transaction, NRC owns 116,656 treasury shares.

The following primary insiders have purchased shares:

Henning Olsen, Chief Executive Officer, has purchased 4,281 shares in the program. Following the purchase Mr. Olsen owns 114,306 shares and 135,000 share options in the Company.

Ole Gulsvik, Chief Financial Officer, has purchased 4,281 shares in the program. Following the purchase Mr. Gulsvik owns 4,281 shares and through his wholly-owned company Jodfabrikken AS, 133,996 shares. In addition, Mr. Gulsvik holds 75,000 share options in the Company.

Harri Lukkarinen, EVP and MD NRC Finland, has purchased 4,281 shares in the program. Following the purchase Mr. Lukkarinen owns 16,962 shares and 115,500 share options in the Company.

Arild Ingar Moe, EVP and MD NRC Norway, has purchased 4,281 shares in the program. Following the purchase Mr. Moe owns 232,033 shares and 57,000 share options in the Company.
