Disclosure under Chapter 9 Section 5 of the Securities Markets Act
Nurminen Logistics Plc Stock Exchange Release 4 January 2021 at 4.00 pm
Nurminen Logistics Plc (Nasdaq Helsinki: NLG1V) (“Nurminen Logistics”, the “Company”) has 4 January 2021 received notifications in accordance with Chapter 9, Section 5 of the Securities Markets Act (“SMA”) from Juha Nurminen and JN Uljas Oy (an entity controlled by Juha Nurminen).
According to the notifications, holdings of Juha Nurminen and JN Uljas Oy in the Company have diluted on 31 December 2020 due to the registration of the new shares with the Finnish Trade Register. The new shares were issued in connection with the rights issue announced by the Company on 7 December 2020. Total positions of Juha Nurminen and JN Uljas Oy, are the followings of the total number of shares and voting rights in the Company:
- Juha Nurminen percent 8,96 (6 652 032 shares and votes);
- JN Uljas Oy 4,11 percent (3 049 388 shares and votes); aggregate position of Juha Nurminen and JN Uljas Oy 13,07 percent (9 701 420 shares and votes);
The notified ownership percentage presented in the notifications has been calculated against the current total number of shares and votes published by Nurminen Logistics being 74 212 667 including the treasury shares held by Nurminen Logistics in accordance with the SMA and the guidelines issued by the Finnish Financial Supervisory Authority.
