EXTRAORDINARY GENERAL MEETING OF OBDUCAT AB POSTPONED

Report this content

Owing to the recent sharp rise in the share price of Obducat AB, the prerequisites for the proposed issue of convertibles to be decided at the advertised Extraordinary General Meeting on January 26, 2004 have changed.

The Board has therefore made the following decision:

* The previously advertised Extraordinary General Meeting on January 26, 2004 is cancelled.

* During the day the Board will call a new Shareholders’ Meeting to be held on February 9, 2004.

* It is proposed that the previously presented issue of convertibles be made on the same conditions as in the original proposal, the only difference being that the Board – in light of the above-mentioned rise in share price – be authorised to set the conversion rate for the loan (also the subscription price for the detachable warrants) within the range of 50 – 120 % (previous proposal: 90 – 100 %) of the average share price measured over a period directly in connection with the last-mentioned Meeting.

"Considering the Company’s share price trend in the past few weeks, the Board has found that the uncertainty regarding the possibility of successfully implementing the proposed new issue has increased. Not taking proactive measures under such circumstances would have been irresponsible to the Company and its shareholders", says Peter Jonsson, Chairman of the Board at Obducat, in a commentary on the decision that has now been made.

A new Extraordinary Shareholders’ Meeting will be announced during the day.

Malmö, January 22, 2004
