NOTICE OF EXTRAORDINARY GENERAL MEETING

The shareholders of Obducat AB (publ) are hereby invited to the Extraordinary General Meeting on Wednesday 7 April 2010 at [15.00 hrs] at Obducat’s premises at Geijersgatan 2A, Malmö, Sweden.

RIGHT TO ATTEND

Shareholders who wish to participate in the Extraordinary General Meeting shall have their names entered in the share register maintained by Euroclear Sweden AB on Tuesday 30 March 2010, and notify the Company of their intention to attend the Meeting no later than Tuesday 30 March, 2010 at 12:00 noon.

In order to participate in the Annual General Meeting, shareholders whose shares are registered with a nominee must temporarily register these shares with Euroclear Sweden in their own name. Such temporary share registration must be made no later than Tuesday 30 March 2010. Consequently the nominee needs to be informed by the shareholder well in advance of this day.

Obducat has 532.359.870 shares, of which 10.082.918 series A shares each representing ten votes and 522.276.952 series B shares each representing one vote. The total number of votes is 623.106.132.

NOTICE OF PARTICIPATION

Notice of participation in the Meeting shall be submitted to Obducat AB (publ), Box 580, SE-201 25 Malmö, Sweden, by e-mail to cecilia.jureus@obducat.com or by fax + 46 40 36 21 60. When giving notice of participation, please state name, national insurance number or corporate identity number, address, registered number of shares, daytime telephone number and, when applicable, the number of advisors (max. two) to attend the Meeting.

Shareholders wishing to be represented by a nominee should submit a power of attorney together with the notice of participation. Power of attorney forms are available on www.obducat.com. Those representing a juridical person shall present a copy of a certificate of registration or an equivalent authorisation stating the person who is authorised to sign for the company.

5. Election of one or two persons to verify the minutes

6. Determination of whether the Meeting has been duly convened

7. The Board of Directors’ proposal for changed conditions for Obducat’s convertibles 2008/2011, and Obducat’s warrants 2009/2011 and 2009/2012

8. Closing of the Meeting

CHANGE OF CONDITIONS FOR CONVERTIBLES AND WARRANTS (PARAGRAPH 7)

The Board of Directors proposes that the conditions for Obducat’s convertibles 2008/2011:A and B be changed in such a way that the below mentioned sentence is inserted after the first sentence of the second paragraph of § 6 in the conditions:

”As far as the conversion required during the time as from 19 April 2010 up to and including 30 April 2010 is concerned, the conversion rate shall be SEK 0.27, when the conversion shall be executed at the earliest possible date.”

The Board of Directors further proposes that the conditions for Obducat’s warrants 2009/2011:A and B, and 2009/2012:A and B be changed in such a way that a stipulation is added regarding the recalculation of the subscription price and the number of shares that each warrant entitling the holder to subscribe for, with a view to compensating the holders of the warrants for the conversion to a lower conversion rate resulting from the above proposed change of conditions for convertibles.

It is proposed that the Chief Executive Officer be authorised to make the formal adjustments in the above mentioned resolutions that may prove necessary in connection with the registration of these.

The complete proposal for authorisation will be available at the Company’s offices and on the Company’s web site www.obducat.com at the latest two weeks prior to the Meeting.
