OBDUCAT’S BOARD CALLS FOR AN EXTRAORDINARY SHAREHOLDERS’ MEETING
On 16 March 2005 the Board of Directors decided to call an extra shareholders’ meeting to be held on 15 April at 2:00 pm in the Kockums Room of Malmömässan at Varvsgatan 15, Malmö, Sweden. In order to attend the Meeting, shareholders must be registered as such on the printout of the shareholder register issued by VPC AB regarding the circumstances on Tuesday 5 April 2005 and have notified the company of their intention to participate in the Meeting no later than 12:00 pm on Monday 11 April 2005. Notice of intention to participate in the Meeting is to be made in writing to: Obducat Aktiebolag (publ), Box 580, SE-201 25 Malmö, by e-mail to info@obducat.com, or by fax at +46 40-36 21 60. The abovementioned notification, which must be received by the company no later than 12:00 pm on Monday 11 April 2005, is to include the following: name, personal identity or company registration number, address, the number of shares, daytime telephone number, and, when applicable, the number of accompanying assistants (not more than two).
The Board proposes that the Meeting make decisions regarding:
· Implementation of a cash rights issue to shareholders 2:7, meaning that a maximum of 1,857,142 new Series A shares and a maximum of 56,777,018 new Series B shares can be issued. The issue price is proposed to amount to 75 % of the average highest and lowest price noted by NGM Equity for the company’s B share for each trading day during the period 1 April 2005 to 14 April 2005. The record date for the right to participate in the new share issue is 26 April 2005. The share subscription period is from 9 May 2005 to 23 May 2005.
· Authorisation for the Board to issue a maximum of 80,000,000 Series B shares during the period up to the Annual General Meeting on one or more occasions, with the right for the Board to deviate from shareholders’ preferential rights. The issue price for the new shares is to be at least 105 % of the issue price of the preferential rights issue proposed above. The main purpose of the authorisation is to facilitate a directed new share issue to one or more Swedish or foreign investors. The dilution effect in the event of full exercise of this authorisation corresponds to approximately 28 percent of the share capital, or respectively – in the event of full conversion of outstanding warrants and full conversion of outstanding convertible subordinate debentures – approximately 23 %. Dilution is calculated on the basis of the number of new shares from full exercise of the authorisation divided by the total number of shares in the company after full exercise. The calculation was carried out without taking into account the effects of the preferential rights issue proposed above.
· Change in the articles of association, which – based on the proposal of Engineer Lennart Olsson – are proposed to be supplemented with a provision concerning a simplified procedure for conversion of Series A shares to Series B shares.
At the meeting the special examination decided upon at the Annual General Meeting of 2004 will also formally be submitted.
