Summons to Bondholder's Meetings

21 September 2021 – Ocean Yield ASA (the "Issuer") has today instructed Nordic Trustee AS as trustee for its senior unsecured bond issues maturing in 2023 (ISIN NO 0010823214) and 2024 (ISIN NO 0010869720) and its perpetual hybrid callable bond issue (ISIN NO 0010861594) to summon bondholders' meetings for each of the bond issues. The purpose of the bondholders' meetings is to consider a proposal for certain amendments to the respective bond terms. 

The summons and the amendment proposals relate to the announcement dated 13 September 2021 regarding an offer for all shares of the Issuer to be made by Octopus Bidco AS, a newly formed company indirectly wholly owned by funds advised by Kohlberg Kravis Roberts & Co. L.P. and its affiliates. 

The summons for the respective bondholders' meetings are attached to this release. Arctic Securities AS and DNB Markets, a part of DNB Bank ASA, have been appointed as financial advisors to the Issuer in connection therewith.
