Omega II AB announces the final outcome for the offer to the shareholders of Fortnox AB (publ)

After the extended acceptance period ended on 21 July 2025, Omega II and its closely related parties own or control approximately 98.9 per cent[1] of the share capital and votes in Fortnox AB (publ) ("Fortnox").

On 31 March 2025, EQT X[2] and First Kraft AB[3] (together the "Consortium"), acting through Omega II AB[4] ("Omega II"), announced a recommended public offer to the shareholders of Fortnox to tender all shares in Fortnox to Omega II (the "Offer"). On 12 June 2025, Omega II declared the Offer unconditional, announced that it would complete the Offer and extended the acceptance period.

The Offer is now closed. The shares tendered in the Offer during the extended acceptance period ended on 21 July 2025 amount to 9,918,793 shares and votes in Fortnox, corresponding to approximately 1.6 per cent of the share capital and votes in Fortnox. The total amount of shares tendered in the Offer at the end of the extended acceptance period amount to 461,949,190 shares and votes in Fortnox, corresponding to approximately 75.8 per cent of the share capital and votes in Fortnox. During the period after 12 June 2025, the Consortium has, through an EQT X controlled company, also acquired 25,604,294 shares in Fortnox in the market, corresponding to approximately 4.2 per cent of the share capital and votes in Fortnox, meaning that Omega II together with its closely related parties own or control 603,071,117 shares and votes in Fortnox, corresponding to approximately 98.9 per cent of the share capital and votes in Fortnox. No acquisitions were made at a price that exceeds the consideration in the Offer.

Settlement for shares tendered in the Offer during the extended acceptance period ended on 21 July 2025 will take place on or around 29 July 2025. Omega II has reserved the right to postpone the settlement date to the extent permissible under applicable laws and regulations. Any such change of the settlement date will be announced by Omega II by means of a press release in accordance with applicable laws and regulations.

Except as set out above, neither Omega II nor any members of the Consortium nor any of their closely related companies or closely related parties owns or controls any shares in Fortnox, or any financial instruments that give financial exposure equivalent to holding shares in Fortnox, at the time of the announcement of the Offer. Neither Omega II nor any members of the Consortium nor any of their closely related companies or closely related parties have acquired or agreed to acquire any shares, or any other financial instruments in Fortnox that give financial exposure equivalent to holding shares in Fortnox, at a price that is higher than the price in the Offer, during the six months preceding the announcement of the Offer.

Since the Offer is unconditional, shareholders who have accepted the Offer have no right to withdraw their acceptances.

Omega II has commenced compulsory redemption proceedings under the Swedish Companies Act (Sw. aktiebolagslagen (2005:551)) to acquire all remaining shares in Fortnox. The last day of trading of Fortnox's shares on Nasdaq Stockholm is on 24 July 2025.
