Posten Norge AS pursues bid for OptiMail AB (publ) and the Board of Directors applies for delisting

In a press release today, 3 January 2006, Posten Norge AS announced that shareholders representing approximately 92.3% of the share capital and voting capital in OptiMail AB at the close of the application period, 30 December 2005, have accepted Posten Norge AS’s public offer to acquire all outstanding shares in OptiMail AB. The bid entails that the shares will be acquired at a price of SEK 18.75 by a wholly-owned subsidiary of Posten Norge AS. Posten Norge AS has further announced that the bid is unconditional.

As a consequence of its new ownership, Posten Norge AS is entitled pursuant to Chapter 22, section 1 of the Companies Act, to redeem remaining shares from other shareholders of OptiMail AB (publ). Posten Norge AS has announced that it intends to exercise this right. As a consequence of Posten Norge AS’s announcement, the Board of Directors of OptiMail AB (publ) has resolved to apply for de-listing of OptiMail’s shares from the Stockholmsbörsen O list commencing 24 January 2006. This means that the last date for trading OptiMail shares is calculated to be 23 January 2006. As a consequence of the planned delisting, OptiMail AB (publ) will not issue the previously announced interim report on 10 February 2006. Following a request from Posten Norge AS, the Board of Directors has resolved to convene an Extraordinary General Meeting on 27 January 2006 for resolutions relating to board elections and revocation of resolutions regarding principles for the appointment of the election committee. The notice to attend the meeting with complete agenda will be published in the customary manner, i.e. through Post- och Inrikes Tidningar (the Official Gazette), in national newspapers and through press releases. The notice to attend the meeting shall be published not later than two weeks prior to the date of the Extraordinary General Meeting.
