Opera Closes Acquisition of Skyfire - Issue of new shares by the Opera Board

Mountain View, California and Oslo, Norway - March 15, 2013. The agreement to acquire Skyfire referred to in the announcement made to Oslo Stock Exchange on February 15, 2013 has now been closed. The transaction will have effect as of 15 March 2013. As part of the closing, and in accordance with the terms of the merger agreement, the Opera board has resolved to issue a total of 2,047,906 new shares, each at a subscription price of NOK 35.21. The shares will be subscribed by sellers of the shares in Skyfire who are eligible to receive shares in Opera pursuant to exemptions from registration obligations under US securities laws. Existing shareholders' preferential rights to subscribe for shares have been set aside in order to consummate and complete the Skyfire transaction. The new shares will give the subscribers rights as shareholders as from registration with the Register of Business Enterprises. Following such registration, the share capital of Opera will be 2,432,453.76, divided into 121,622,688 shares, each having a face value of NOK 0.02.
