Nordea Bank Abp, filial i Sverige (“Nordea”), in its capacity as stabilisation manager, notifies that the stabilisation period in the Pagero Group AB (publ) (”Pagero” or the “Company”) ordinary share now has ended. No further stabilisation measures will be undertaken.

As announced on October 22, 2021 in the press release regarding first day of trading in Pagero on Nasdaq First North Growth Market (the “Listing”), Nordea has, as stabilisation manager, had the option to carry out transactions in the Pagero share aimed at supporting the market price at levels above those which might otherwise prevail in the market.

Stabilisation transactions in the Pagero share could have been undertaken at any time from the first day of trading on Nasdaq First North Growth Market (on October 22, 2021) and for no longer than 30 calendar days thereafter, meaning the final day for stabilisation was November 19, 2021. Such stabilisation measures could have been undertaken on Nasdaq First North Growth Market, in the over-the-counter market or otherwise and could under no circumstances have been conducted at a price per share higher than the one set in the Listing, i.e. SEK 24.

Nordea has, in its capacity as stabilisation manager, notified that stabilisation measures have been undertaken in respect of 3,124,999 shares in accordance with Article 5.4 of the Market Abuse Regulation (EU No 596/2014). The stabilisation measures were made possible through an over-allotment of shares in the offering, borrowed from Summa Equity1, Greenfield AB2, Sjätte AP-fonden, Mats Ryding3 and Norelia AB4 (the “Lending Shareholders”). All shares that have been bought back will now be returned to the Lending Shareholders.
