Summary from Annual General Meeting of Pagero

Shareholders of Pagero Group AB (publ) has today, Thursday 12 May 2022, held an Annual General Meeting at Pagero’s office on Västra Hamngatan 1 in Gothenburg.

The meeting adopted the profit and loss accounts and the balance sheets for the parent company and the Pagero group contained in the annual report.

The meeting decided that the result according to the adopted balance sheet for the company should be allocated in accordance with the board of directors’ proposal in the annual report.

The meeting granted the members of the board and the managing director a discharge from liability for the financial year 2021.

The meeting decided that the chairman of the board shall receive a remuneration of SEK 300 000 and the other board members, SEK 150 000. Board members which are employed within the Pagero group will however not receive any remuneration. The company’s accountant shall be remunerated in accordance with approved invoice.

The meeting decided to re-elect board members Christian Melby, Bengt Nilsson, Mats Ryding, Karin Sandsjö, Birger Steen and Fredrik vom Hofe and to elect Marianne Knudsen as board member. Öhrlings PricewaterhouseCoopers AB, with Patrik Resebo as principal auditor, was elected auditor of the company. It was noted that present board members did not participate in this voting process. The chairman thanked, on behalf of the Board of Directors, the company and all shareholders, the resigning board member Jonas Edlund for contributions to the company.

The meeting decided to establish a Nomination Committee and to adopt rules for the Nomination Committee in accordance with Appendix 2 which is available on Pagero’s website.

The meeting decided on an authorization for the board in accordance with Appendix 3 which is available on Pagero’s website.
