Bulletin from PartnerTech Annual General Meeting, April 27, 2005
CEO Michael Jonson noted in his address that PartnerTech’s earnings improved substantially in 2004. The main sources of growth were the market advances and new assignments that the company won. The year saw many challenging new product introduction projects, which affected early 2005 as well. Revenue increases in the first quarter of 2005 were 24% greater than the same period of 2004. The meeting approved the following resolutions of the board: · to distribute a per-share dividend of SEK 0.50, or a total of SEK 5.7 million, to shareholders for the 2004 fiscal year (record date – Monday, May 2, projected distribution date – Friday, May 6) · to reappoint Johan Ek, Rune Glavare, Mikael Jonson, Dag Tigerschiöld, Patrik Tigerschiöld and Claes Wretlind as board members, and to appoint Dag Tigerschiöld as chairman of the board · to award remuneration of 280,000 to the chairman of the board, 140,000 to each remaining member of the board chosen by the annual general meeting and not employed by the company, and amounts to the auditor as per approved invoices, for the period that runs through the conclusion of the next annual general meeting Upcoming interim reports: January-June – Friday, July 15, 2005 January-September – Tuesday, October 25, 2005 · proposed principles for the appointment of a three-member nominating committee to which the shareholders with the greatest number of votes have the opportunity to appoint one representative each · to empower the board to reach a decision on the issue of up to 1,140,000 new shares at a par value of five (5) each to enable acquisitions · to discharge the members of the board and the CEO from liability with respect to 2004
