PartnerTech - dividend per share remains unchanged despite issue of new shares Pursuant to the issue of new shares in connection with the acquisition of EQ Elektroniq AB, the board of PartnerTech AB (publ) is proposing that the annual general meeting approve a total distribution of SEK 12.3 million at an unchanged dividend of SEK 1.50 per share. The PartnerTech group acquired a 100% stake in EQ Elektroniq AB on March 8, 2001. Payment was made in 647,414 new PartnerTech AB (publ) shares and in cash. In its 2000 annual report, the board of PartnerTech AB (publ) indicated that the dividend would be SEK 1.50 per share, for a total distribution of SEK 11.3 million. Pursuant to the issue of new shares in connection with the acquisition of EQ Elektroniq AB, the board is proposing that the dividend remain unchanged at SEK 1.50 per share but that the total distribution be SEK 12,312,621. When acquiring EQ Elektroniq AB, the PartnerTech group also acquired a stake in Baltic Microwaves Sp zo.o. Payment for Baltic Microwaves SP zo.o. shares will be made through an issue of 102,586 new shares in PartnerTech AB (publ). As soon as the Polish antitrust authorities approve the acquisition, approval and registration of the issue will be handled by the Swedish Patent and Registration Office and the Swedish Securities Register Center (VPC AB). The acquisitions of Baltic Microwaves Sp zo.o. and EQ Elektroniq AB are to include a supplementary purchase sum that is partially tied to the future earnings of the two companies. If so determined by the annual general meeting, the supplementary purchase sum will be paid in newly issued PartnerTech AB (publ) shares. Otherwise the supplementary purchase sum will be paid in cash. PartnerTech AB develops and manufactures electronics products under contract for leading growth companies, primarily in telecom infrastructure, IT/mechatronics, and medical technology.
