Limited liability companies and co-operatives must submit financial statements to the Finnish Trade Register; even active businesses may risk deregistration
The Finnish Patent and Registration Office (PRH) will this week send reminder letters to about 5.000 limited liability companies and co-operatives that have not submitted their financial statements for registration within one year from the end of the financial period. The PRH can deregister even an active limited liability company or co-operative if they do not file the financial statements by the date given on the letter.
Deregistration means that the business is out of action.
All limited liability companies and co-operatives must file their financial statements with the Trade Register for each financial period, even if they have interrupted or stopped their business activities.
You can use the Financial Statements Search in the Virre Information Service to check free of charge if the financial statements of your company have been recorded in the Trade Register. Go to the Virre Information Service.
The Finnish Tax Administration will only forward financial statements to the PRH if the documents have been submitted with the tax return exactly as instructed by the Tax Administration.
The PRH's right to deregister companies that have not filed their financial statements is based in each case on either the Finnish Limited Liability Companies Act or the Finnish Co-operatives Act.
