New member proposed for election to Board of Directors

Supplement to notice to convene annual general meeting in Penneo (Company Announcement No. 06-2023)
Penneo’s Board of Directors proposes that Jakob Neua Nørgaard is elected as a new member of the Board of Directors at the company’s upcoming Annual General Meeting which is scheduled to be held on 29 March at 12:00 (CEST).
Consequently, Penneo’s Board of Directors proposes that the company’s Board of Directors will consist of five members; the Chairman of the Board Christian Sagild and the members Rikke Stampe Skov, Morten Kenneth Elk, Steffen Heegaard and Jakob Neua Nørgaard.
Jakob Neua Nørgaard co-founded Penneo in 2014 and is highly knowledgeable about the company’s historical development, technology platform, product offering and overall market position. Moreover, he has deep insight into how regulation is currently driving the market for electronic signatures both in the EU and the rest of the world. Based on these competencies, the Board of Directors believes that Jakob will strengthen the Board's competencies and support Penneo’s continued growth and expansion.
Jakob Neua Nørgaard is currently CEO and co-founder of Estaldo ApS, a company that has developed a technology platform to facilitate the buying and selling process of real estate in Denmark. He has also co-founded the company Justworks.
Because of this amendment to agenda item 5, the form needed to vote by proxy or by post has been amended correspondingly and shareholders are advised to use the updated form or the investor portal.
