Annual general meeting of Perbio Science AB · Nomination committee · Authorisation for the Board to decide on a new share issue At today's Annual General Meeting of Perbio Science AB it was decided that the Board shall consist of six Board Members, and to re-elect Håkan Björklund, Mats Fischier, Lars Gatenbeck, Jörgen Lönngren, Sven Hagströmer and Wilhelm Wendt as Board Members. Christer Gardell and Lars Förberg had declined re-election. It was also decided at the meeting to entrust the Chairman of the Board with the formation of a nomination committee consisting of three to four members representing a wide range of ownership ahead of the next Annual General Meeting in 2003. The committee's mission is to prepare and present proposals for the selection of Board Members and the remuneration to them and the auditors. Furthermore, it was decided that remuneration shall be paid at SEK 600,000 in total to Board Members. At the subsequent statutory board meeting, Sven Hagströmer was elected as the Board Chairman. For the purpose of allowing the Board to supply capital to the company for its future expansion, and to be able to utilise the company's shares as payment for acquisitions, it was decided to authorise the Board, with or without deviation from shareholders' preferential rights, to increase the company's share-capital by issuing a maximum of [3,655,842] new shares, which corresponds to ten percent of the total issued shares in the company as stated on the day of the meeting.
