NOTICE OF EXTRAORDINARY GENERAL MEETING The Shareholders of Perbio Science AB (publ) are hereby invited to attend an Extraordinary General Meeting to be held on Wednesday, 24th September, 2003 at 3 p.m. (Swedish time) at Kongresscenter, Södra Storgatan 11-13 in Helsingborg, Sweden. Right to participate and notification In order to take part in the Meeting, Shareholders must be registered in the Shareholders' Register maintained by the Swedish Securities Register Centre (VPC AB) on Sunday, 14th September, 2003 (registration must, due to intervening weekend, be made no later than on Friday, 12th September, 2003); and notify intended participation at the Meeting to Perbio Science AB no later than Friday, 19th September, 2003 at 12.00 a.m. (Swedish time) by mail, addressed to Perbio Science AB, att: Annika Hultkrantz, Knutpunkten 34, SE-252 78 Helsingborg, Sweden, by telephone, by calling (00) 46 42-26 90 96 or (00) 46 42-26 90 93, or by e-mail, addressed to info@perbio.com. When notifying the Company the Shareholder should state name, personal code number or organisation registration number, address and telephone number as well as any information regarding proxy and the number of advisors (not more than two) that will be accompanying the Shareholder. Shareholders represented by proxy should submit a power of attorney in the original to the Company together with the notification. A representative of a legal entity shall present a copy of the registration certificate or the corresponding authority documents, which shows the authority to sign for the legal entity. Shareholders who have placed their shares in trust must temporarily re- register the shares in their own names to allow them to participate in the Meeting. A Shareholder must inform the trustee thereof in good time before Friday, 12th September, 2003, at which date such re-registration must have been executed. The Company will confirm receipt of notice of participation by sending an admission card to be shown at the Meeting. Matters at the Meeting Proposal for agenda 1. Opening of the Meeting. 2. Election of Chairman to preside at the Meeting. 3. Preparation and approval of a voting list. 4. Approval of the agenda. 5. Election of two persons to approve the minutes. 6. Examination of whether the Meeting has been properly convened. 7. Determination of the number of Directors of the Board. 8. Determination of the remuneration to the Board of Directors. 9. Election of the Board of Directors. 10.Cancellation of the assignment to convene a nomination committee. 11.Closing of the Meeting. FSII Sweden Holdings AB, holding more than 90 per cent of the shares in the Company, has requested the Meeting to be convened and notified the Company that the following proposals will be put forward at the Meeting. Election of the Board of Directors (items 7, 8 and 9 on the agenda) The number of Directors shall be four without any deputy members. The present Board shall be replaced in its entirety through election of Paul M. Meister, Todd M. DuChene, Jacob Melander and Carl-Johan Deuschl. Remuneration shall not be paid to the Board of Directors. Cancellation of the assignment to convene a nomination committee (item 10 on the agenda) The assignment to the Chairman of the Board to convene a nomination committee shall be cancelled. Welcome!
