Peutinger AB now controls 86.56 per cent of the shares in Internationella Engelska Skolan

On 25 September 2020, Peutinger AB (“Peutinger”) announced a mandatory cash offer to the shareholders in Internationella Engelska Skolan i Sverige Holdings II AB (publ) (“IES”) to acquire all outstanding shares in IES (the “Offer”). Prior to the outcome of the initial acceptance period in the Offer on 2 November 2020, Peutinger increased the price in the Offer from SEK 77.04 to SEK 82 in cash per share in IES and extended the acceptance period up to and including 15:00 (CET) on 17 November 2020.
624,996 shares have been tendered in the Offer during the initial acceptance period that ended on 2 November 2020, which in total corresponds to 1.56 per cent of the total number of shares and votes in IES. Settlement of the shares tendered in the Offer during the initial acceptance period will commence on 9 November 2020.
The shares so far tendered in the Offer, together with the shares already owned or otherwise controlled by Peutinger, including the shares acquired under the agreement with Handelsbanken Fonder AB [1] and shares purchased in the market outside the Offer, takes Peutinger’s control and ownership in IES to 34,666,515 shares corresponding to in total 86.56 per cent of the total number of shares and votes in IES.
“Now that Peutinger AB controls more than 86 per cent of the total shares we conclude that a number of institutions have decided to accept the offer which implies a risk for further decreased liquidity in the IES share going forward. The increased offer gives the shareholders who are dependent on liquidity in the IES share the opportunity to sell at a significantly higher premium than in the mandatory offer and SEK 82 per share corresponds to a very attractive valuation premium compared to core peers”, said Jan Hummel, founder and managing director of Paradigm Capital.
The extended acceptance period in the Offer will run up to and including 15:00 (CET) on 17 November 2020. Settlement of shares tendered in the Offer during the extension of the acceptance period is expected to commence on or around 24 November 2020.
