    THE MERGER BETWEEN POOLIA AB (PUBL) AND UNIFLEX AB (PUBL) HAS BEEN REGISTERED WITH THE SWEDISH COMPANIES REGISTRATION OFFICE AND NEW BOARD MEMBERS AND CEO HAVE ACCEDED IN POOLIA AB (PUBL)

    In accordance with the resolutions adopted on the extraordinary general meetings of Poolia AB (publ) (”Poolia”) and Uniflex AB (publ) (”Uniflex”) on 26 July 2018, the Swedish Companies Registration Office has today registered the merger between Poolia and Uniflex. Through the registration, the legal effects of the merger have occurred, entailing that Uniflex has been dissolved and all its assets and liabilities have passed to Poolia.   Further, the Swedish Companies Registration Office has today registered the issue of 6,840,485 new shares of class A in Poolia and 22,674,387 new shares

    PERMISSION TO IMPLEMENT THE MERGER PLAN BETWEEN POOLIA AB (PUBL) AND UNIFLEX AB (PUBL) GRANTED BY THE SWEDISH COMPANIES REGISTRATION OFFICE

    The Swedish Companies Registration Office has today granted Poolia AB (publ) (”Poolia”) and Uniflex AB (publ) (”Uniflex”) permission to implement the merger plan between the two companies. The Swedish Companies Registration Office is expected to register the merger on 31 October 2018. In connection with the registration of the merger, Uniflex will be dissolved and all its assets and liabilities will be transferred to Poolia. As a consequence of the Swedish Companies Registration Office’s permission and the future registration of the merger, Uniflex will be delisted from Nasdaq Stockholm.
