Per Uebel new member of Poolia’s Board

Press release from Poolia AB’s Annual General Meeting on 6 April 2006

The Annual General Meeting of Poolia AB (publ) today passed the following resolutions:

Election of Board Members

Board Members Margareta Barchan, Monica Caneman, Curt Lönnström, Mats Sundström and Björn Örås were re-elected and Per Uebel was elected new Member of the Board. Per Uebel is Managing Director of Hemköp and has also held leading positions within ICA and Lindex, in Sweden as well as in Germany. In addition, he has worked at H&M in several European countries.

“With Per Uebel’s broad international background and experiences, he will be a valuable addition to the Board and the work that lies ahead” says Björn Örås, Poolia’s Chairman and principal owner.

Dividend

The Annual General Meeting approved the proposed dividend of SEK 0.25 per share to the shareholders. Tuesday, 11 April 2006 was set as the record date for receipt of dividends. It is estimated that VPC AB will commence distribution of the dividends on Tuesday, 18 April 2006.

Number of Members and Deputy Members of the Board

The Meeting resolved that the company will have six Board Members with no deputies.

Director and audit fees

Director fees were set at SEK 1 400,000, to be divided with SEK 900,000 to the Chairman and SEK 100,000 to each Board member. The company’s auditors will receive fees on a current account basis against invoices.

General comments

“Our core business has developed positively in 2005 and we can see a positive market trend in all the countries we operate in. The year’s results were affected by the operations in Germany, by areas not part of our core activities. The restructuring of those areas is progressing according to plan and our strategy lies firm” says Managing Director and Chief Executive Officer Erik Strand.
